Terms of Service
For VoIPNexus and VoipValet, operated by North Bay IT Solutions. Last updated October 12, 2026.
1. Agreement and scope
These Terms govern access to and use of VoIPNexus, VoipValet, and the related hosted applications, websites, communications, customer portals, reporting, fleet and rental workflows, billing tools, AI-assisted features, and integrations that North Bay IT Solutions makes available (the “Platform”). “Company,” “we,” and “us” mean North Bay IT Solutions. “Customer” means the business or organization subscribing to or authorized to use the Platform. “User” means a person the Customer authorizes to access it.
By signing an order form, accepting these Terms electronically, or using the Platform after notice of these Terms, the Customer agrees to them. A service schedule, order form, or data-processing addendum signed by both parties supplements these Terms. If terms conflict, the signed document controls for the service it covers. These Terms govern the Company’s Platform; each third-party provider’s terms govern that provider’s service.
2. Accounts and acceptable use
The Customer is responsible for keeping account and business information accurate, designating authorized administrators, protecting credentials, removing access for former Users, and activity under its accounts. Users may use the Platform only for the Customer’s legitimate business purposes and within their assigned permissions.
The Customer and Users must not use the Platform unlawfully; interfere with its operation or security; probe or bypass access controls; upload malicious code; misrepresent identity or authority; or use an integration to send communications or submit requests without the required rights, notices, and permissions. The Platform is not an emergency-response service.
3. Customer data and privacy
The Customer retains its rights in business, employee, and end-customer information it submits (“Customer Data”). The Customer permits the Company to host, use, transmit, and process Customer Data as reasonably needed to provide, secure, support, and improve the contracted Platform services, as directed by the Customer, and as required by law.
The Customer is responsible for having the notices, permissions, and other legal authority needed to provide Customer Data to the Platform and direct its disclosure to connected providers. This includes information about a renter or other passenger for whom it requests a third-party service. Any signed data-processing terms govern the parties’ processing roles and instructions where applicable.
The Company’s Privacy Policy describes its collection, use, sharing, security, retention, and privacy-request practices. Do not submit sensitive personal information through a provider custom field unless the provider and Company have expressly approved that use.
4. Third-party services and integrations
The Platform may connect to business systems and service providers, including repair-management, email, phone/SMS, payment, AI voice, and transportation services. An integration may require the Customer to configure an account, grant permission, or obtain provider approval. The Customer authorizes the Company to exchange information reasonably needed for integrations the Customer enables.
Third-party services are operated by their providers, not by the Company. Provider availability, eligibility, pricing, data practices, and service terms are controlled by the provider. The Customer must review and comply with provider terms and account requirements. The Company is not responsible for a provider’s acts, omissions, service interruption, or API changes, except to the extent applicable law does not allow that responsibility to be limited.
5. Lyft Concierge rides
Lyft Concierge functionality is available only if it is enabled for the Customer and the relevant Lyft Business program and API connection have been approved. This section does not represent that the integration is currently available to every Customer.
When an authorized User asks the Platform to arrange a Lyft Concierge ride for a renter or other passenger, the Customer authorizes the Platform to send Lyft information needed to request and manage that ride. Depending on the request, this may include the passenger’s name and mobile number, pickup and drop-off locations, requested timing, and operational ride instructions. The Platform may receive and display ride identifiers, ride status, cancellation updates, and fare or receipt details Lyft makes available for the Customer’s program.
The Customer must have authority to provide this information and give any required notice to the passenger. Lyft processes information under its own terms and privacy practices and may share ride information with the Customer, passenger, and driver as described by Lyft. Lyft says a passenger does not need a personal Lyft account to receive a Concierge ride. See Lyft’s Terms and Privacy Policy.
Lyft determines ride availability, driver matching, route, fares, and cancellation charges. The Customer is responsible for charges Lyft bills to its Lyft Business account or program under its Lyft agreement. The Platform will not create a separate passenger charge for a ride unless that charge is clearly presented to the passenger and separately authorized under the applicable Customer agreement and rental or service terms.
6. Fees, payments, and communications
Platform subscription fees, payment methods, billing periods, taxes, and renewal terms are stated in the applicable signed order form or service schedule. The Customer is responsible for those charges and provider charges billed directly to it. An amount the Customer intends to collect from an end-customer must be disclosed and authorized through the applicable customer agreement and transaction flow.
If the Customer enables call, email, SMS, or AI-assisted communication features, it is responsible for providing required notices and obtaining required permissions for communications and recordings. Carrier and provider delivery is not guaranteed. The Customer must honor applicable opt-out requests and communication preferences.
7. Platform rights and feedback
The Company and its licensors own the Platform, its software, documentation, and related intellectual property. Subject to these Terms and the applicable order form, the Company grants the Customer a limited, non-exclusive, non-transferable right for authorized Users to access the contracted Platform services during the service term.
The Customer may provide feedback or suggestions. The Company may use them to improve its services without restriction or payment, provided it does not disclose the Customer’s confidential information in doing so.
8. Availability, changes, and support
The Company may maintain, update, or modify the Platform. We will use reasonable efforts to give advance notice of a material change that substantially reduces a contracted feature. Support hours, response commitments, service levels, and any service credits are governed by the applicable order form or service schedule.
Features that depend on a connected provider may stop working if that provider changes or withdraws access. The Company may disable an integration when reasonably necessary to protect account security, comply with provider requirements, or prevent unauthorized activity.
9. Suspension, termination, and data export
The service term and cancellation notice period are stated in the applicable order form. Either party may terminate for a material breach that remains uncured after written notice and a reasonable opportunity to cure, or as otherwise allowed by the order form or applicable law.
The Company may suspend access when reasonably necessary to address a security threat, unlawful use, provider restriction, or material risk to the Platform or another customer. Where practical, we will give notice and an opportunity to correct the issue. After termination, the Customer may request an export of available Customer Data during the period and in the format stated in the order form or applicable data-processing terms. Retention and deletion are subject to those terms and legal recordkeeping requirements.
10. Disclaimers and liability
The Platform is provided according to the service description and commitments in the applicable order form. Except for express commitments in a signed agreement and to the extent permitted by law, the Company disclaims implied warranties. The Platform does not guarantee availability, performance, pricing, or outcomes from a third-party service, including a Lyft ride.
To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. Nothing here limits liability that applicable law does not allow the parties to limit.
11. Changes and contact
We may update these Terms by posting a revised version and updating its date. Material changes will be communicated to the Customer’s account administrator. Continued use after an update’s effective date constitutes acceptance where permitted by law.
